2. Acceptance of These Terms

By using Discovered You, you confirm that you have read, understood and agreed to these Terms.

If you are using our services on behalf of a company, organisation or other legal entity, you represent that you have authority to accept these Terms on its behalf.

If you do not agree with these Terms, you should not use the relevant Discovered You services.

3. Eligibility

You must have the legal capacity to enter into the relevant agreement or transaction when purchasing or contracting for our services.

Where an account or service is used on behalf of a business or organisation, the person using the account is responsible for ensuring that they have appropriate authority.

We may request reasonable information to verify identity, authority, account ownership or business information where necessary.

4. Discovered You Accounts

Certain services require a Discovered You account.

When creating or using an account, you agree to provide information that is accurate and reasonably current.

You are responsible for:

  • maintaining the confidentiality of your credentials;
  • protecting access to your email address, telephone and authentication methods;
  • activities carried out through your account;
  • notifying us promptly of suspected unauthorised access; and
  • keeping relevant contact information reasonably current.

You must not intentionally create an account using another person’s identity or use another person’s account without appropriate authorisation.

5. Authentication and Google Sign-In

Discovered You may provide different authentication methods, including email/password authentication, Google Sign-In and, where available, phone-number/OTP authentication.

When you use Google Sign-In, your authentication is also subject to applicable Google terms and policies.

Google Sign-In is provided as a convenient authentication method and does not transfer ownership or control of your Google Account to Discovered You.

Information received through Google authentication is handled according to our Privacy Policy.

Discovered You may modify, suspend or replace an authentication method where reasonably necessary for security, technical, regulatory or operational reasons.

6. Service Studio, Requirements and Estimates

Discovered You may provide an online Service Studio or similar facility that allows users to describe requirements and receive an estimate or proposed service configuration.

Information generated through such a facility may be based on the requirements supplied by the user.

Unless expressly identified as a final binding quotation, an automatically generated estimate should be regarded as an estimate rather than a final contractual price.

Complex requirements, third-party integrations, custom development, licensing requirements, infrastructure requirements or changes in scope may require further technical assessment.

Where necessary, Discovered You may review requirements before confirming the final project scope, price and delivery arrangements.

7. Quotations and Project Acceptance

A quotation or project proposal may specify:

  • project scope;
  • deliverables;
  • project value;
  • payment structure;
  • deposit;
  • estimated timeline;
  • ongoing service charges;
  • third-party costs;
  • assumptions;
  • exclusions; and
  • other project-specific terms.

A project may become accepted when the client performs an acceptance action specified by Discovered You, which may include approving a quotation, accepting an estimate, making the required deposit or payment, signing an agreement, or otherwise confirming the project.

Project-specific terms presented in an accepted quotation, proposal or agreement form part of the agreement between the client and Discovered You.

Where a project-specific written agreement conflicts with these general Terms, the project-specific agreement will normally govern that particular project to the extent of the conflict.

8. Project References and Project Records

Discovered You may assign a unique project reference to a project.

This reference may be used to connect information relating to:

  • the client;
  • quotation;
  • order;
  • payments;
  • project requirements;
  • project stage;
  • project status;
  • progress;
  • milestones;
  • documents;
  • approvals;
  • feature requests;
  • communications; and
  • project history.

Clients should quote the relevant project reference when communicating with us about a project where reasonably possible.

9. Client Command Centre

Discovered You may provide clients with access to a Client Command Centre or similar project workspace.

Depending on the project and services enabled, this may allow clients to:

  • view projects;
  • monitor project progress;
  • review project updates;
  • view payment information;
  • submit requirements;
  • upload requested documents;
  • respond to approval requests;
  • communicate with the Discovered You team;
  • request features or changes;
  • review quotations;
  • approve additional work;
  • review deliverables;
  • accept delivery;
  • request revisions; and
  • perform other project-related actions.

Actions submitted through an authenticated Client Command Centre may be treated as actions made by the authorised account holder.

10. Project Stages and Progress

Discovered You may use internal project-management stages to communicate the current operational position of a project.

Stages may include:

Awaiting Start → Discovery → Planning → Design & Architecture → Development → Testing → Client Review → Launch & Handover → Ongoing Service → Completed

Projects may also have operational statuses such as:

On Track, Active, Awaiting Client, Paused or Completed.

A percentage progress indicator may also be displayed.

These indicators are intended to help communicate project progress. They are operational management indicators and should not necessarily be interpreted as an exact mathematical measurement of work, cost or time remaining.

Project stages and statuses are separate from payment or transaction statuses.

11. Client Responsibilities

Successful delivery often depends on timely client cooperation.

The client is responsible for providing reasonably accurate and complete:

  • requirements;
  • content;
  • documents;
  • branding materials;
  • photographs;
  • credentials where legitimately required;
  • approvals;
  • feedback;
  • technical information; and
  • other information necessary for delivery.

The client is also responsible for responding to reasonable project requests within an appropriate period.

Delays in providing required information, approvals or access may affect project schedules and delivery dates.

12. Documents and Materials Provided by Clients

By providing content, images, logos, documents, data, software, credentials or other materials to Discovered You for a project, the client represents that they have the necessary rights or authority to provide those materials and permit their use for the project.

The client remains responsible for ensuring that materials supplied to us do not unlawfully infringe third-party intellectual property, privacy or other rights.

The client grants Discovered You the limited rights reasonably necessary to use those materials to perform the requested services.

13. Approvals

During a project, Discovered You may request approval of items such as:

  • requirements;
  • designs;
  • prototypes;
  • quotations;
  • milestones;
  • additional features;
  • documents;
  • deliverables; and
  • final work.

An approval submitted through an authenticated project account, email or another agreed communication method may be relied upon by Discovered You for continuing the project.

Clients should therefore review approval requests carefully before accepting them.

14. Feature Requests and Changes in Scope

A client may request additional features, revisions or changes after the original project scope has been agreed.

A requested change may require:

  • technical review;
  • additional quotation;
  • client approval;
  • additional payment;
  • revised delivery dates; or
  • changes to the original project plan.

Discovered You is not required to provide material work outside the agreed scope without appropriate agreement.

Where an additional feature requires payment, development may begin only after the applicable approval and payment requirements have been satisfied.

15. Payments

Payment requirements will be specified in the applicable quotation, estimate, order, invoice or project agreement.

Depending on the service, payment options may include:

  • full payment;
  • deposit;
  • staged or milestone payments;
  • additional feature payments;
  • recurring or ongoing service charges; or
  • another agreed payment arrangement.

Payments may be processed by bank transfer, an online payment provider or another method made available by Discovered You.

The client is responsible for ensuring that payment information and transaction references supplied to us are accurate.

16. Deposits

Where a project requires a deposit, the deposit secures the project and allows Discovered You to allocate resources and commence or prepare the work.

Unless the applicable quotation, agreement or applicable law provides otherwise, deposits identified as non-refundable are not refundable after the project has been accepted and resources or work have been committed.

Any project-specific deposit terms shown before payment will form part of the applicable project terms.

17. Outstanding Balances

A project may have an outstanding balance after a deposit or partial payment.

The Client Command Centre or other project records may display:

  • total project value;
  • amount paid;
  • amount due;
  • remaining project balance; and
  • additional approved charges.

Discovered You may require payment of an outstanding amount at the stage specified in the applicable quotation or agreement.

Delivery, launch, transfer of certain assets, source-code handover or other final project actions may be conditional on settlement of amounts properly due.

18. Recurring and Ongoing Services

Some services may include ongoing monthly, annual or other recurring charges.

Examples may include:

  • hosting;
  • maintenance;
  • technical support;
  • management services;
  • software services;
  • infrastructure;
  • content or marketing services; and
  • other ongoing support.

The applicable quotation or service agreement will specify the relevant recurring charges.

Failure to pay recurring service charges may result in suspension or termination of the affected ongoing service after reasonable notice where appropriate.

19. Third-Party Costs

Projects may require third-party products or services, including:

  • domain registration;
  • hosting;
  • cloud infrastructure;
  • payment gateways;
  • SMS services;
  • APIs;
  • plugins;
  • themes;
  • software licences;
  • app-store charges;
  • advertising platforms; or
  • other external services.

Unless expressly included in the quotation, third-party fees are not automatically included in Discovered You’s service price.

Third-party products and services remain subject to their providers’ terms, availability, pricing and policies.

Discovered You is not responsible for unilateral changes made by independent third-party providers.

20. Delivery Dates and Timelines

We aim to deliver projects according to agreed or estimated timelines.

However, project dates may depend on factors including:

  • client response times;
  • receipt of content and documents;
  • approvals;
  • changes in scope;
  • third-party integrations;
  • external platform reviews;
  • technical complexity;
  • infrastructure availability; and
  • circumstances reasonably outside our control.

Unless expressly guaranteed in writing, target dates should be regarded as good-faith project targets rather than absolute guarantees.

Where a delay occurs, we will endeavour to communicate material changes appropriately.

21. Client Review and Acceptance

Where a deliverable is submitted for client review, the client should review it within a reasonable period and either:

  • accept the deliverable; or
  • provide specific revision requests relating to the agreed scope.

A request for functionality materially outside the agreed scope may be treated as a new feature or change request.

Once a deliverable is accepted, the relevant project stage or feature may be marked completed.

22. Revisions

Any included revision entitlement may be specified in the relevant quotation, service description or project agreement.

Revisions are intended to refine work within the agreed scope.

Requests that materially change previously approved requirements, designs or functionality may constitute additional work and may require a separate quotation.

23. Intellectual Property

Ownership of intellectual property depends on the type of service and the applicable project agreement.

Unless otherwise agreed in writing:

  • the client retains ownership of materials originally supplied by the client;
  • Discovered You retains ownership of its pre-existing technology, frameworks, tools, methodologies, reusable components, know-how and intellectual property;
  • third-party software remains subject to its applicable licence; and
  • ownership or licensing rights in custom deliverables will be governed by the applicable quotation or project agreement.

Where a project includes custom deliverables intended to transfer to the client, such transfer may be conditional upon payment of all amounts properly due for those deliverables.

24. Reusable Technology and Components

Discovered You may use pre-existing or reusable components, libraries, frameworks, development methods, modules, templates, systems or general technical knowledge when providing services.

Unless expressly agreed otherwise, providing a custom project does not transfer exclusive ownership of Discovered You’s underlying reusable technology, tools or general know-how.

This does not prevent the client from receiving the rights specifically promised for the project’s final deliverables.

25. Open-Source and Third-Party Software

Projects may incorporate open-source or third-party software.

Such components remain governed by their respective licences.

Nothing in these Terms transfers rights that Discovered You does not possess or overrides an applicable open-source or third-party licence.

26. Confidentiality

During a project, either party may receive non-public business, technical or commercial information relating to the other party.

Each party should use reasonable care to protect confidential information and use it only for legitimate purposes connected with the relevant service, except where disclosure is:

  • authorised;
  • required to provide the service;
  • already publicly available without breach;
  • independently obtained lawfully; or
  • required by law.

More specific confidentiality arrangements may be agreed separately where required.

27. Privacy and Personal Information

Our handling of personal information is governed by the Discovered You Privacy Policy.

The Privacy Policy explains how we collect, use, store, protect, share and delete personal information, including information associated with Google Sign-In and other authentication services.

The Privacy Policy should be read together with these Terms.

28. Security

We take reasonable measures designed to protect Discovered You systems and accounts.

Users must not:

  • attempt unauthorised access;
  • bypass security controls;
  • interfere with authentication mechanisms;
  • probe or exploit vulnerabilities without written authorisation;
  • introduce malicious software;
  • perform denial-of-service activity;
  • scrape protected information without permission; or
  • use the platform in a way intended to compromise another user or system.

We may restrict or suspend access where reasonably necessary to protect the platform, users or infrastructure.

29. Acceptable Use

You may not use Discovered You services to:

  • violate applicable law;
  • commit fraud;
  • impersonate another person unlawfully;
  • distribute malicious software;
  • infringe intellectual property rights;
  • unlawfully collect personal information;
  • harass or threaten others;
  • interfere with platform operation;
  • circumvent security controls;
  • conduct unauthorised automated access; or
  • use our services for other unlawful or abusive activities.

We reserve the right to investigate suspected misuse and take reasonable protective action.

30. Suspension or Restriction of Accounts

We may temporarily restrict or suspend access where reasonably necessary because of:

  • suspected unauthorised access;
  • security concerns;
  • fraud or abuse;
  • material violation of these Terms;
  • legal requirements;
  • non-payment of applicable services; or
  • conduct creating material risk to Discovered You, its clients or systems.

Where appropriate and reasonably practicable, we will attempt to provide notice.

31. Cancellation and Termination

A client may request cancellation of a service or project by contacting Discovered You.

The financial and practical consequences of cancellation depend on:

  • work already completed;
  • resources committed;
  • non-refundable deposits;
  • third-party costs incurred;
  • outstanding balances;
  • custom work completed; and
  • applicable project-specific terms.

Cancellation does not automatically create a right to a full refund.

Discovered You may terminate a service for material breach, unlawful activity, persistent non-payment or other substantial contractual reasons, subject to applicable law.

32. Refunds

Refund eligibility depends on the nature of the service, work already performed, project-specific terms and applicable law.

Custom development, consulting, completed work, third-party purchases and non-refundable deposits may not be eligible for refund once the relevant work or commitment has commenced.

Where Discovered You agrees that a refund is due, it will be processed using a reasonable method and timeframe.

Nothing in these Terms excludes any mandatory consumer rights that cannot lawfully be excluded.

33. Service Availability

We aim to keep our online services available and reliable, but continuous uninterrupted operation cannot be guaranteed.

Availability may be affected by:

  • maintenance;
  • software updates;
  • hosting issues;
  • internet failures;
  • third-party services;
  • security incidents;
  • infrastructure failures; or
  • circumstances beyond our reasonable control.

Temporary service interruptions do not necessarily constitute a breach of these Terms.

34. Third-Party Services and Links

Our services may contain links to or integrations with independent third-party services.

Examples may include Google, Firebase, banks, payment processors, hosting providers and other technology platforms.

Those services are governed by their own terms and policies.

A link or integration does not mean Discovered You controls or guarantees the third-party service.

35. Artificial Intelligence and Automated Features

Discovered You may introduce artificial intelligence or automated features to assist with activities such as:

  • service guidance;
  • requirement analysis;
  • project summaries;
  • workflow assistance;
  • operational recommendations;
  • support;
  • automation; and
  • other platform functions.

Automated outputs may contain errors and should not automatically be treated as professional, legal, financial or other regulated advice.

Where significant decisions require human approval, Discovered You may maintain human oversight according to the nature and risk of the action.

Our handling of personal information in connection with automated systems remains subject to our Privacy Policy.

36. No Guarantee of Business Results

Unless expressly agreed in writing, Discovered You does not guarantee a particular commercial result from a website, application, marketing service, software system or consulting engagement.

Business outcomes may depend on factors outside our control, including market conditions, client decisions, competition, advertising expenditure, customer behaviour and third-party platforms.

We are responsible for providing the agreed service, not guaranteeing independent business outcomes.

37. Warranties

We will use reasonable professional care in providing our services.

Except for warranties expressly provided in writing or required by applicable law, services are provided subject to the specifications and limitations described in the applicable agreement.

We do not warrant that every digital service will be permanently error-free, uninterrupted or compatible with every future third-party technology change.

38. Limitation of Liability

To the extent permitted by applicable law, Discovered You will not be liable for indirect, incidental, special or consequential losses arising from circumstances outside the scope of the service reasonably undertaken by us.

Where liability cannot lawfully be excluded, any limitation will apply only to the maximum extent permitted by applicable law.

Nothing in these Terms is intended to exclude or limit liability where exclusion or limitation is prohibited by law.

39. Indemnity for Unlawful Client Materials or Instructions

To the extent permitted by law, a client may be responsible for losses or claims resulting from materials, instructions or activities supplied or specifically required by the client where the client knew or reasonably should have known that they infringed third-party rights or violated applicable law.

This provision does not apply to losses caused by Discovered You’s own unlawful conduct.

40. Force Majeure

Neither party will be responsible for delay or failure caused by circumstances reasonably beyond its control, such as natural disasters, widespread infrastructure failures, governmental action, war, civil disturbance, major telecommunications failures or significant third-party platform outages.

The affected party should take reasonable steps to minimise the impact where practicable.

41. Electronic Communications

You agree that project updates, approvals, notices, invoices, payment requests and other service communications may be provided electronically through:

  • the Discovered You platform;
  • Client Command Centre;
  • email;
  • authenticated project messaging; or
  • another agreed electronic communication channel.

Electronic records may form part of the relevant project and transaction history.

42. Changes to Our Services

Discovered You may improve, modify or replace features of its website and platform over time.

We may make reasonable changes to user interfaces, security mechanisms, integrations, authentication methods and operational functionality.

Material changes affecting an existing paid service will be handled consistently with the applicable project or service agreement.

43. Changes to These Terms

We may update these Terms to reflect:

  • changes to our services;
  • new platform functionality;
  • changes in business operations;
  • security requirements;
  • legal or regulatory requirements; or
  • changes to third-party integrations.

The latest version will be published on this page with an updated Last Updated date.

Material changes will apply prospectively where required by applicable law.

44. Governing Law

These Terms and the relationship between you and Discovered You are governed by the applicable laws of Sri Lanka, subject to any mandatory legal rights or jurisdictional rules that apply to a particular user or transaction.

45. Dispute Resolution

If a dispute arises, we encourage the client to contact us first so that we can attempt to resolve the matter reasonably and promptly.

Please contact:

support@discoveredyou.com

If a dispute cannot be resolved informally, either party may pursue remedies available under applicable law and the jurisdiction provisions applicable to the relevant agreement.

46. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

47. No Waiver

Failure by Discovered You to immediately enforce a provision of these Terms does not permanently waive our right to enforce that provision later.

48. Entire Agreement

These Terms, together with our Privacy Policy and any applicable quotation, project proposal, service agreement, order terms or other expressly incorporated terms, constitute the agreement governing the relevant Discovered You service.

Project-specific agreements may contain additional or different provisions applicable to that project.
